ORDER CONTRACT SYSTEM

(Adisa Mode Wholesale — managed by Santosha Beachwear Clothing Private Limited)

All domestic and international orders placed with Adisa Mode Wholesale are governed by the following Order Contract Terms, managed and operated by Santosha Beachwear Clothing Private Limited, Surat (India). These terms apply to all apparel and accessories, whether custom-developed or catalogue-based.

1. Order Confirmation

Orders are accepted based on written confirmation specifying product name, fabric, quantity, and packing details.

Apparel: Sizes available from XS to 3XL or as per buyer’s required grade set.

Accessories: Available in assorted formats (e.g. 100×160, 120×180, etc.), depending on product type and buyer’s specification.

Buyer must clearly state size breakdown and packing ratio before order approval.

2. Minimum Order Quantity (MOQ)

Each product has a defined MOQ as mentioned in the wholesale catalogue. Customized fabrications, dye lots, or branding requests may require higher MOQs, which are informed prior to order confirmation.

3. Sampling & Approval

Pre-production sampling (PPS) shall be made upon buyer’s request. Bulk production will begin only after written sample approval and confirmation of technical details, fabrics, and trims. Any changes after PPS approval must be re-confirmed in writing and may affect delivery schedules.

4. Testing & Quality Standards

All goods are produced in compliance with international textile and accessory testing standards, including:

Fabric testing (GSM, shrinkage, colorfastness, dimensional stability, rubbing, and appearance after washing) and accessories testing (performance and finishing standards as per export market norms).

Third-party testing (SGS / ITS / Bureau Veritas) can be arranged upon request, at buyer’s cost unless otherwise agreed.

5. Inspection & Dispatch

Pre-shipment inspection may be carried out by the buyer or an approved inspection agency. Goods are shipped only after Sentosa internal QC clearance and packaging verification. Packaging and labeling will follow buyer’s export packing instructions or Santosha’s standard packaging protocol.

6. Delivery & Logistics

Delivery timeline will be as per mutually agreed production schedule. Sentosa Beachwear Clothing is not liable for delays caused by logistics, customs, or other force majeure situations. Shipments are processed under standard INCOTERMS 2020 (FOB, CIF, or Ex-Works) as confirmed in the proforma invoice.

7. Payment Terms

Production begins only after advance payment or receipt of valid purchase order/LC. Balance payment is due before dispatch unless otherwise approved in writing. All transactions are considered confirmed upon receipt of payment acknowledgment.

8. Modifications & Cancellations

Orders cannot be cancelled once production has commenced. Any post-confirmation modifications may involve additional costs and revised lead times, depending on process status.

9. Returns & Claims

Returns are accepted only for verified manufacturing defects reported within the inspection period. No claim will be entertained after garments or accessories are cut, printed, or used. Returns must comply with the Return Policy operated by Santosha Beachwear Clothing Private Limited.

10. Jurisdiction & Legal Terms

All transactions are subject to Surat, Gujarat (India) jurisdiction. For international trade, the contract follows Indian commercial law in accordance with UNIDROIT & ICC trade standards.

Catalogue Note (Wholesale):

Available in assorted sizes XS–3XL (for apparel) and multi-dimensional variants (for accessories). Minimum order as per wholesale policy. Please refer to footer notes for ordering and packaging details.
